Timecoyl - Terms of Service
These Terms of Service (“Terms”) are a binding legal agreement between you and Samrat, Inc., d.b.a Timecoyl, Inc., which govern your right to use the website, application and other offerings provided by Samrat, Inc. (collectively the “Timecoyl Platform”) When used in these Terms, (“Timecoyl”, “we”, “our”, or “us”) refers to Samrat, Inc. By using the Timecoyl Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you are prohibited from further using the Timecoyl Platform.
If you access or download Timecoyl from (1) the Apple App Store, and/or (2) the Google Play Store, you agree to usage rules set forth in the applicable app store(s)’s Terms of Service.
Acceptance of Terms
By accessing or using Timecoyl, the Timecoyl website, or other Timecoyl, Inc. products and services, you acknowledge that you have read, understood, and agree to be bound to the Terms. We reserve the right to review and amend any of these Terms at any time without prior notice. Any changes to these Terms will take effect immediately from the date of publication.

License and Access
Timecoyl grants you a limited, non-exclusive, non-transferable, and revocable license to use the Timecoyl Platform. You may not use the Timecoyl Platform for any illegal or unauthorized purpose.
Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose your personal information.
User Account
To use certain features of the Timecoyl Platform, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account information and agree to accept responsibility for all activities that occur under your account.
Automatic Updates
You give us permission to download and install updates to Timecoyl on your device in accordance with your privacy preferences. This permission can be revoked at any time by deleting Timecoyl from your device.
Content
You retain ownership of any content you submit or upload to the Timecoyl Platform. By providing content, you grant Timecoyl a worldwide, non- exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content.
Limitations of Use
By using Timecoyl products and services, you warrant on behalf of yourself, any entity who you represent, and your users who have entered into these Terms, that you will not:
1. modify, copy, prepare derivative works of, decompile, or reverse engineer Timecoyl or any materials and software contained within Timecoyl or on our website;
2. remove any copyright or other proprietary notations from Timecoyl or any materials and software contained within Timecoyl or on our website;
3. transfer Timecoyl or any of its associated materials to another person or “mirror” the materials on any other server;
4. knowingly or negligently use Timecoyl or any of its associated services in a way that abuses or disrupts our networks or any other service Timecoyl, Inc. provides;
5. use Timecoyl or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
6. use Timecoyl or its associated services in violation of any applicable laws or regulations;
8. harvest, collect, or gather user data without the user’s consent; or
9. use Timecoyl or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.
Intellectual Property
You acknowledge and agree that the Timecoyl Platform is protected by patents, copyrights, trademarks, trade secrets, and other proprietary rights owned by Timecoyl, Inc. Any unauthorized use, reproduction, or distribution of the Timecoyl Platform may violate patent, copyright, trademark, and other applicable laws. Timecoyl reserves all rights not expressly granted in these Terms.
Timecoyl will investigate any reported instances of infringement and, if necessary, take appropriate action, which may include removing or disabling access to the allegedly infringing material and terminating the accounts of repeat infringers. Timecoyl may also pursue legal action to enforce its intellectual property rights.
By using the Timecoyl Platform, you agree to respect and abide by the intellectual property rights of Timecoyl, Inc. and third parties. Any use of the Timecoyl Platform that violates intellectual property rights may result in the termination of your account and legal consequences.

Termination
Timecoyl reserves the right to terminate or suspend your access to the Timecoyl Platform or your account at any time, without prior notice, for any reason, including, but not limited to, a breach of these Terms.
Disclaimer of Warranties
The TimeCoyl Platform is provided on an "as-is" and "as-available" basis. TimeCoyl makes no warranties, either express or implied, regarding the accuracy, reliability, or completeness of the TimeCoyl Platform.
Disclaimer of Third Parties
TimeCoyl, Inc. has not reviewed all sites linked to TimeCoyl or on its corresponding website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, nor control by TimeCoyl, Inc. of the site. Use of any such linked website is at your own risk. We strongly advise you to make your own investigations with respect to the suitability of those sites.
Severance
Any term of these Terms which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms is not affected and still enforceable.
Notice Regarding Apple
To the extent that you are using or accessing TimeCoyl on an iOS device, you acknowledge and agree to the terms of this clause. You acknowledge that these terms are between you and TimeCoyl, Inc. only and not with Apple Inc. (“Apple”). Apple is not responsible for TimeCoyl or any materials available in the TimeCoyl Platform.
Apple has no obligation to furnish you with any maintenance and support services with respect to TimeCoyl products or services.
If TimeCoyl fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the mobile application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to TimeCoyl and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our responsibility.
Apple is not responsible for addressing any claims by you or any third party relating to TimeCoyl or your use of TimeCoyl, including but not limited to (1) product liability claims; (2) any claim that our mobile application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.
Apple is not responsible for the investigation, defense, settlement, and discharge of any third-party claim that our mobile application infringes that third party’s intellectual property rights.
You agree to comply with any applicable third-party terms when using TimeCoyl, including any Usage Rules set forth in the Apple App Store Agreement of Service.
Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.
You hereby represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.
Governing Law
These Terms are governed by and construed in accordance with the laws of the state of Virginia, without regard to its conflict of law principles.
